Carrington Coleman's tax practice group works with clients from diverse industries on tax-related aspects of their business operations as well as tax matters related to their organizational and financial structures. We see our role as advising clients on ways to minimize their tax expense consistent with their business and organizational priorities.
An important part of our tax practice is related to federal taxation in connection with mergers, acquisitions, and dispositions. We structure transactions for many types of entities including publicly traded and closely held corporations, limited liability companies, S corporations, real estate investment trusts, general and limited partnerships. We regularly advise clients regarding the structure of real estate transactions, particularly as to tax-deferred exchanges and partnership allocation issues. We have a significant practice representing exempt administrations and the individuals who form them, with respect to organizational, unrelated income and inurement issues. We also advise our clients with respect to tax issues involving employee benefits, including those related to stock option and restricted stock plans, deferred compensation plans and rabbi trusts, property for services issued under Section 83, Section 162(m) compensation limits, and issues related to golden parachutes under Section 280G and related sections, and to ERISA issues generally.
On the international level, we provide advice regarding a variety of cross-border transactions, particularly with regard to debt and equity structure and transfer pricing issues. Our attorneys have worked on transactions involving tax issues in South America, Europe, and Asia, as well as Canada and Mexico. In addition, we address issues of state and local taxation. We work with our clients to settle their controversies with tax authorities, but if this is not possible, we are prepared to litigate the matters in all administrative forums and at all judicial levels.
